DRAFT FOR ATTORNEY REVIEW. This document was prepared in plain English to cover the categories most relevant to an independent insurance brokerage website. It is not legal advice and has not been reviewed by counsel. Before publishing, a Utah-licensed attorney should review for accuracy, completeness, and compliance with state insurance regulations, the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state consumer-protection statutes, and any carrier or surety requirements that apply to your business.
1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the website located at gritinsurance.com and any related subdomains, applications, online forms, and tools (together, the "Site"), all of which are operated by Grit Insurance Group ("Grit," "we," "us," or "our").
By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
If you are using the Site on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. About Grit Insurance Group
Grit Insurance Group is an independent insurance brokerage headquartered in Salt Lake City, Utah, with additional offices in Park City, Utah and Challis, Idaho. We help businesses and individuals secure surety bonds and property and casualty insurance through licensed carriers.
Grit is a brokerage. We do not underwrite, issue, or guarantee insurance policies or surety bonds. Coverage and bonding decisions are made by the carriers and sureties we represent.
3. The Site Is Informational
Content on the Site, including articles, guides, FAQs, calculators, and the Bond Scorecard, is provided for general informational and educational purposes only. It is not:
- An offer to sell, bind, or place insurance or a surety bond
- A quote, indication of premium, or guarantee of coverage or capacity
- Legal, tax, accounting, or financial advice
- A substitute for reviewing actual policy forms or consulting a licensed advisor
Insurance and surety products are subject to underwriting, carrier appetite, state law, policy terms, and other conditions. Nothing on the Site creates a binder, contract, or obligation to issue coverage.
4. Quote Requests, Applications, and Forms
The Site lets you request a quote, submit an application, or share information through online forms. By using these forms you understand and agree:
- A submission is a request, not a contract of insurance or a bond commitment.
- Coverage, terms, and pricing are subject to underwriting review and acceptance by a carrier or surety.
- The information you submit must be accurate and complete to the best of your knowledge. Misrepresentations may result in denial of coverage, denial of a claim, or rescission.
- We may share your submission with carriers, sureties, managing general agents, wholesalers, and software vendors that support our operations, in each case for the purpose of preparing or servicing your request.
- Quote requests are typically valid for a limited time and may expire if not bound.
5. Bond Scorecard and Other Online Tools
The Bond Scorecard and any similar interactive tools on the Site provide an estimated readiness or capacity range based on the inputs you provide. Results are educational only. They are not a quote, an underwriting decision, or a guarantee that any specific surety will issue a bond on the indicated terms. Actual bond approval and capacity depend on full underwriting, including review of financial statements, work-in-progress reports, banking, indemnity, and project specifics.
6. AI-Assisted Content and Communications
Some content on the Site, including blog posts, FAQs, and tool outputs, may be created or assisted by artificial intelligence systems and reviewed by Grit team members before publication. AI-assisted content is not a substitute for licensed professional judgment. Coverage recommendations, bond strategies, claim guidance, and regulatory references should be confirmed with a licensed Grit team member before you act on them.
If we use AI tools to help respond to inbound messages, schedule appointments, or draft proposals, those outputs are still subject to review by licensed staff before they become binding offers or recommendations.
7. State Licensing and Service Availability
Grit and its producers are licensed in specific states. Services described on the Site may not be available in every state, and licensing requirements can change. We will not knowingly transact insurance business in a state where we are not appropriately licensed for the line of business involved.

8. Communications and Consent
By providing your contact information, you agree that Grit and its representatives may contact you about your inquiry, your account, or services that may be relevant to you, by email, telephone, or text message.
- Email. All marketing emails include an unsubscribe link. You may opt out at any time.
- Phone. Calls to or from Grit may be recorded for quality assurance, training, and compliance purposes where permitted by law. If you do not want a call recorded, tell the representative at the start of the call.
- Text messaging. SMS messages are sent only to individuals who have given express written consent. Standard message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Frequency varies based on your relationship with us. Carriers are not liable for delayed or undelivered messages.
You are responsible for keeping your contact information current and for the security of the email accounts and phone numbers you share with us.
9. User Conduct
When you use the Site you agree not to:
- Submit information that is false, misleading, or that you do not have the right to share
- Impersonate another person or business
- Interfere with or disrupt the Site, its servers, or any networks connected to the Site
- Attempt to gain unauthorized access to any part of the Site, our systems, or other users' data
- Use any automated tool, scraper, or robot to access or copy Site content except for standard search-engine indexing
- Use the Site to transmit viruses, malware, or other harmful code
- Use the Site for any unlawful purpose or in violation of these Terms
We reserve the right to suspend or terminate access to the Site for any user who violates these Terms.
10. Intellectual Property
The Site and its content, including text, graphics, logos, the GRIT name and tagline, photos, articles, tools, and underlying code, are owned by Grit Insurance Group or our licensors and are protected by United States and international copyright, trademark, and other intellectual-property laws.
You may view and print Site content for your personal or internal business reference. You may not copy, republish, modify, distribute, sell, or create derivative works from Site content without our prior written permission. Brief quotation with proper attribution and a link back to the source page is permitted.
11. User Submissions
If you submit feedback, suggestions, testimonials, or other non-confidential ideas to Grit through the Site, by email, or otherwise, you grant Grit a non-exclusive, worldwide, royalty-free, perpetual license to use that material for any lawful business purpose, including marketing. Do not send us any material you consider confidential or proprietary unless we have a separate written agreement covering it.
Information you provide as part of a quote request, application, or client servicing is treated under our Privacy Policy and the agreements that govern our brokerage relationship, not under this paragraph.
12. Third-Party Links and Content
The Site may link to third-party websites, including carrier portals, government licensing boards, surety underwriting platforms, and educational resources. We provide these links as a convenience and do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party site. Your use of any third-party site is at your own risk and subject to that site's terms.
13. Disclaimers
THE SITE AND ALL CONTENT, FORMS, TOOLS, AND COMMUNICATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components. We do not warrant that information on the Site is current, complete, or accurate for your specific situation. State laws, bond requirements, dollar thresholds, carrier appetite, and policy terms change. Always confirm material facts with a licensed Grit team member or the issuing carrier or surety before you act.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GRIT INSURANCE GROUP, ITS OWNERS, OFFICERS, EMPLOYEES, PRODUCERS, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF GRIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO GRIT FOR THE SPECIFIC SITE FEATURE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent the law of your jurisdiction prohibits any exclusion or limitation in this section, that exclusion or limitation will apply only to the maximum extent permitted, and the remainder will continue in full force.
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Grit Insurance Group and its owners, officers, employees, producers, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Site, (b) your violation of these Terms, (c) information you submit through the Site that is inaccurate or that you did not have the right to share, or (d) your violation of any applicable law or third-party right.
16. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, share, and protect personal information. The Privacy Policy is available at gritinsurance.com/privacy-policy and is incorporated into these Terms by reference.
17. Changes to These Terms
We may update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify users through the Site or by email. Your continued use of the Site after changes are posted means you accept the updated Terms. If you do not agree to the updated Terms, stop using the Site.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles.
You and Grit agree that any dispute, claim, or controversy arising out of or related to the Site or these Terms will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you and Grit consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
This section does not modify any rights you have under applicable consumer-protection laws or any separate written agreement between you and Grit.
19. Severability and Waiver
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable. Our failure to enforce any provision is not a waiver of our right to enforce it later.
20. Entire Agreement
These Terms, together with the Privacy Policy and any separate written brokerage, service, or carrier agreements, are the entire agreement between you and Grit regarding the Site, and supersede any prior agreements regarding the Site.

Notes for the Grit team before publishing:
- Page naming. The current site footer reads "Terms and Conditions." Decide with counsel whether to name this page "Terms of Service," "Terms and Conditions," or "Website Terms of Use," then make the footer label and the page H1 match.
- Contact email. Section 21 needs the contact-of-record email (legal notices, privacy requests). Default candidate: kirk@gritinsurance.com.
- Companion documents to confirm exist or build. Privacy Policy at /privacy-policy is referenced in Section 16 - confirm it is published and current. Consider whether to add: California consumer notice (CCPA/CPRA), accessibility statement, DMCA / copyright notice procedure, and an electronic-records / e-signature consent.
- Disputes section. Counsel may recommend adding a binding-arbitration clause and class-action waiver. That is a strategic decision, not a default - we left it out.
- Carrier and surety obligations. Confirm none of your carrier or surety appointment agreements require specific disclaimer language on your website that is not already covered above.
- Accessibility (WCAG/ADA). Site-wide accessibility is a separate compliance track from this document.
